Voluntary Dissolution: A business corporation organized under laws of New York State is an entity formed under the authority granted by the state. Therefore, the existence of a business corporation may only be terminated by authority of the State of New York. The Business Corporation Law provides a procedure for dissolving a corporation voluntarily.
